Please read these Terms of Use ("Terms") carefully before using the EcomSarthi CRM platform ("Platform") operated by EcomSarthi ("we", "us", or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you disagree with any part of these Terms, you must discontinue use immediately.
- The Platform is intended for authorised business users only. Access is granted by your organisation's administrator.
- You must be at least 18 years of age to use this Platform.
- You are responsible for maintaining the confidentiality of your login credentials. You must notify your administrator immediately of any unauthorised use of your account.
- We reserve the right to suspend or terminate access for any violation of these Terms or at the request of your organisation's administrator.
You may use the Platform solely for lawful business purposes as intended by your organisation. Specifically, you agree to:
- Use the Platform only for managing leads, follow-ups, meetings, tasks, and related CRM activities as authorised by your role.
- Enter accurate and truthful information into the Platform.
- Respect the data privacy of leads, customers, and colleagues whose information is stored in the Platform.
You must not:
- Share your login credentials with any third party.
- Attempt to gain unauthorised access to any other user's account or to the underlying server infrastructure.
- Use the Platform to send spam, unsolicited messages, or to harass any individual.
- Upload or transmit malicious code, viruses, or any software intended to damage or interfere with the Platform.
- Scrape, extract, or export data from the Platform for purposes outside your authorised business use without written consent from EcomSarthi.
- Circumvent, disable, or tamper with any security or access control features of the Platform.
- Use the Platform in any manner that violates applicable local, national, or international laws or regulations.
The Platform, its design, logo, features, and underlying code are the exclusive intellectual property of EcomSarthi. Nothing in these Terms grants you any right, title, or interest in or to our intellectual property other than the limited right to use the Platform as permitted herein.
All data entered into the Platform by your organisation remains the property of your organisation. We assert no ownership over your business data.
Your organisation, as the data controller, is responsible for ensuring that all personal data entered into the Platform (lead contacts, customer details, employee records) is collected and processed in compliance with applicable data protection laws (including but not limited to DPDP Act 2023 in India, and GDPR where applicable).
EcomSarthi acts as a data processor on behalf of your organisation and processes data only as directed by your organisation's use of the Platform.
The Platform may integrate with third-party services (WhatsApp Business API, Instagram, SMTP email providers, etc.). Your use of those integrations is additionally subject to the terms and policies of those third-party providers. EcomSarthi is not responsible for the conduct or data practices of third-party services.
We strive to maintain high availability of the Platform but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control (including hosting provider issues, network outages, or force majeure events). We will endeavour to provide advance notice of planned downtime where reasonably possible.
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be error-free or that defects will be corrected.
To the maximum extent permitted by applicable law, EcomSarthi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Platform, even if advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising under or related to these Terms shall not exceed the amount paid by your organisation for use of the Platform in the three months preceding the claim.
You agree to indemnify, defend, and hold harmless EcomSarthi, its officers, directors, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; or (c) your violation of any applicable law or the rights of any third party.
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of India.
We reserve the right to modify these Terms at any time. We will notify administrators of material changes via the Platform or email. Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of the changes.
We reserve the right to suspend or terminate your access to the Platform at any time, with or without cause or notice, at our sole discretion. Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.
